Fractional General Counsel · Strategic Legal Partner

Most founders meet their lawyer after the problem.
I'm the one you bring in before it.

I'm Priyanka Gulati. For 14 years I built and scaled legal functions for Amazon, the Tata Group, and high-growth ventures — turning legal from a cost centre into a lever for faster deals, cleaner fundraises, and risk-adjusted growth. Today I do that for founders and funds as their external General Counsel, without the cost of a full-time hire.

Positioning

You don't need a law firm. You need someone who owns the outcome.

Law firms bill you by the hour and hand back risk. A full-time General Counsel costs ₹60L–₹1.5Cr+ a year before you're ready for one. Most growth-stage companies sit in the gap between — moving fast, signing big, raising money, entering new markets, with no senior legal mind who actually understands the business.

That's the gap I fill. I embed as your fractional General Counsel: close enough to the business to make the commercial call, senior enough to sit across from your investors, and structured enough to leave behind systems your team can run without me.

Who this is for
  • Founders raising a round and tired of being out-lawyered across the table
  • Funds that need transaction and governance support without a standing in-house team
  • Growth-stage companies signing contracts faster than they can paper them
  • Foreign companies entering India who need global standards translated into local execution
About

I learned to build legal where there was none.

I've spent my career being the first lawyer in the room — and often the first lawyer in the company.

At Amazon India, I helped get Prime, Food Retail, and AWS to launch-ready, built the country's first legal-ops dashboard for leadership, and shipped the Restricted Products Tool that cut illegal listings by 80%. At Dailyhunt, I built the entire legal backbone for Josh and Dailyhunt from scratch — content licensing, IP enforcement, and data privacy for 30M+ users — while the platform liability rules were still being written. At Tata nexarc, I was a core leadership member, negotiating ₹800 Cr+ in technology and licensing contracts, securing IRDAI and digital-lending licenses, and sitting as Company Secretary in liaison with the Tata Chairman's Office.

The thread through all of it: I don't treat legal as the department that says no. I treat it as the function that lets you move faster because the risk is already handled.

In 2024 I started KIMA Advisory to do this work directly for the founders and funds who need it most — as their external General Counsel, on the deals and decisions that define the company.

"Transforming legal from a cost centre into a commercial growth lever — that's the entire job."

01Retainer

Fractional General Counsel

Your senior legal partner on call, without a full-time hire. I own commercial contracting, governance, regulatory questions, and the judgment calls — and I build the playbooks so your team can run the routine without me.

Best for: Post-Series A companies signing volume, scaling teams, and facing investor scrutiny.

02Project

Fundraising & Transactions

Term sheets, SHA/SSA, convertible instruments, secondary exits, structured debt and hybrid financing. I've advised on ₹250 Cr+ in investments — and I negotiate from your side of the table, not the fund's.

Best for: Founders and funds in active deal mode.

03Specialty

India Entry & GCC Legal Architecture

For foreign companies building in India: entity structuring, FDI/FEMA/RBI compliance, JV-to-subsidiary transitions, employee migration, and governance alignment between global HQ and local operations. I've run this end to end for a US financial-services group and secured sector licenses (IRDAI, digital lending).

Best for: US/EU companies setting up or scaling India operations and GCCs.

04Systems

Governance, Compliance & IP Systems

Board processes, ESOP, shareholder rights, investor reporting; compliance playbooks across PoSH, anti-bribery, DPDPA, and consumer-facing functions; trademark portfolios and brand-protection frameworks. The systems that make diligence painless and audits boring.

Best for: Companies preparing to raise, scale, or be acquired.

FAQ

What founders actually ask.

How is a fractional General Counsel different from a law firm?+

A firm advises and bills by the hour; I embed and own the outcome. I'm accountable for the business result — the closed deal, the clean raise, the passed diligence — not the memo.

When does it make sense to bring you in?+

Usually when you're signing contracts faster than you can paper them, raising a round, entering a new market, or facing your first real regulatory or governance question. If you're asking whether you need legal help, you're already there.

Do you replace our existing lawyers?+

No. I work alongside your external counsel and manage them — I'm the senior in-house mind that decides what gets escalated, what gets settled, and what gets built into a system.

Do you work with foreign companies entering India?+

Yes — it's one of my core service lines. Entity structuring, FDI/FEMA compliance, JV transitions, and aligning global HQ standards with on-ground Indian execution.
